Corporate/Mergers and Acquisitions:
The Firm is engaged in a broad ranging transaction and litigation-oriented corporate law practice. Individual lawyers in the firm have been involved in all aspects of mergers, acquisitions, divestitures, contests for corporate control, various forms of issuances of securities, and general corporate and securities law matters. They have significant expertise in representing clients in structuring and handling financial transactions, including representation of borrowers in matters such as new bank stock loans, financing leases, leveraged buyouts, letters of credit, work outs, and restructuring of lending arrangements.
The Firm represents clients involved in a wide variety of local, state, national, and international transactions involving individual and large institutional domestic and international developers and investors. Attorneys of the Firm have substantial experience in major and complex real property acquisitions, sales and exchanges, development activities including planning and zoning, and local property taxes, construction contracts, space and land leasing, and professional real estate service contracts for architects, engineers, brokers, and related real estate industry services. Their experience covers real estate regulatory work including regulatory compliance and registrations under local laws, real estate subdivisions map, and disclosure sales laws of various states as well as the Federal Interstate Land Sales Disclosure Act.
Further areas of special real estate expertise include complex mortgage financing transactions; private and institutional joint ventures; tax exempt bond financing for domestic and international lenders and borrowers; extensive leasing representation; mortgage foreclosure and real estate workout projects.
Lawyers in the Firm provide a full range of legal services to assist in all types of commercial real estate transactions. The practice encompasses acquisitions and dispositions of developed and undeveloped properties; real estate financing (including construction, permanent, purchase-money, sale-leaseback, and others); leasing; management contracts; and condominium-related activities.
The practice of the litigation section covers the full spectrum of business and commercial litigation in such areas as, real estate, antitrust, unfair competition, infringement, entertainment, insurance and reinsurance, surety and fidelity bonding, real estate broker malpractice, employee noncompetes, bankruptcy and the entire gamut of contractual disputes. The Firm's attorneys practice in state and federal trial and appellate courts throughout the United States and before federal, state, and local administrative agencies and in arbitration proceedings.
A growing area of the law which commands much of the firm's practice is the legal compliance by the alcoholic beverage industry with the technicalities of federal, state, and local licensing laws for both retail and wholesale liquor companies, as well as restaurants that serve alcoholic beverages. Attorneys in the firm assist many local and national alcoholic beverage companies with licensing issues and day-to-day legal matters, making it possible for many national restaurant chains to enter the Texas market with alcoholic beverage licenses.
